Russell Law has handled many Florida business law cases.  The most common business law matter handled is the consultation with a client to assist in the picking of a corporate entity for a new business whether that be a for-profit corporation or a limited liability company.  The end result of the consultation is to draft and file the articles of incorporation for the business entity with the State of Florida.

A similar exercise includes the drafting of shareholder agreements for clients who have multiple owners in a corporation.  The goal of these documents is to set the ground rules for the owners as to how the corporation will be run, capital raised, expenses paid, and ownership interests sold.

Finally, Russell Law has consulted and worked with many clients who were involved in the purchase or sale of a business.  This process involves the early negotiation stages so that proper purchase documents can be drafted.  We have drafted all the necessary documents for the sale including the contract, seller's affidavit, and closing statement to name a few.
